Provisions to be followed

(1) The meeting is held in accordance with the provisions of the Law, relevant legislation and the articles of association regarding the general assembly.

(2) In Electronic General Assembly Meeting System (EGKS), the calls for general assembly meetings that are mandatory to be made in accordance with the Law and the articles of association, the documents that must be made available to the shareholders before the general assembly and the documents regarding the meeting agenda are made available to the shareholders in Electronic General Assembly Meeting System with secure electronic signatures within the periods stipulated by law.

Entry to the Meeting Place and Preparations

(1) Only shareholders or their representatives, members of the board of directors, auditors (if any), Ministry representatives, and persons to be elected or appointed to chair the meeting, as well as those registered in the attendance list prepared by the Board of Directors in accordance with Article 417 of the Turkish Commercial Code, may enter the meeting place. Those nominated for the Board of Directors, those responsible for the agenda items, those who need to make statements, other managers of the Company, employees, sound and video recording technicians, and members of the press may also attend the meeting.

(2) Upon entry to the meeting place, individual shareholders and representatives appointed through the electronic general assembly system established in accordance with Article 1527 of the Law must present their identity cards, representatives of individual shareholders must present their identity cards along with their power of attorney documents, and representatives of legal entity shareholders must present their authorization documents and sign the places indicated for them in the attendance list. These control procedures are carried out by the board of directors or one or more members of the Board of Directors appointed by the Board of Directors, or by the person or persons appointed by the Board of Directors.

(3) The board of directors is responsible for preparing the meeting place to accommodate all shareholders and ensuring that the necessary stationery, documents, tools and equipment are available at the meeting place.

(4) The meeting may be recorded in audio and video format.

Notification of Participation in the General Assembly via Electronic Means

Participation in General Assembly meetings via electronic means, appointing representatives, making proposals, expressing opinions, and voting are carried out through the Electronic General Meeting System (EGMS) provided by the Central Registry Agency (CRA).

  1. a) Shareholders who wish to participate in the General Assembly electronically, either in person or through their representatives, must notify their preference via EGMS.
  2. b) If a representative attends the General Assembly on behalf of the shareholder, it is mandatory to register the representative’s identity information in EGMS. Authorization can also be done in this way if the representative attends the meeting physically. When appointing a representative, the shareholder can authorize their representative generally or separately for each agenda item.

The person exercising their participation rights as a representative votes in accordance with the instructions of the represented party.

  1. c) For legal entity shareholders, the notifications to be made in EGMS pursuant to the first and second paragraphs must be signed by the legal entity’s authorized signatory with a secure electronic signature produced in their name on behalf of the company, in accordance with the fourth paragraph of Article 1526 of the Law.

ç) Notifications may also be made by the institution where the shares are deposited, in accordance with the instructions of the rights holder.

  1. d) A rights holder who declares that they will participate in the general assembly meeting electronically may withdraw this preference in the EGMS (Electronic General Assembly Meeting System). A rights holder or their representative who does not withdraw this request to participate electronically cannot physically attend the general assembly meeting.
  2. e) The list of rights holders and their representatives participating in the meeting electronically is obtained from the EGMS before the meeting begins. This list is used to create the attendance list.

Form of notification of participation in the general assembly meeting

  1. a) Rights holders who wish to participate in the general assembly meeting of the joint-stock company electronically, either in person or through their representatives, must notify the EGMS of this preference up to two days before the date of the general assembly. This period is one day for publicly traded companies whose shares are registered and monitored by the Central Registry Agency (CRA).
  2. b) A rights holder who declares that they will participate in the general assembly meeting electronically may withdraw this preference in the EGMS up to one day before the date of the general assembly.
